Service Agreement

Last Updated: October 16, 2026

This Service Agreement ("Agreement") governs the Noticeable subscription services provided by CRTR Studio LLC, doing business as STUDIONOVO ("STUDIONOVO"), together with its visibility partner Connexion AI, LLC ("ConnexionAI") (together, "Noticeable," "we," "us," or "our"), to customers who purchase a Noticeable subscription ("Client," "you," or "your"). STUDIONOVO sells, bills and provides the design services. ConnexionAI provides the AI visibility services.

By completing your Noticeable subscription purchase, you acknowledge that you have reviewed, understand, and agree to this Service Agreement and the Noticeable Terms of Service.

1. Your Noticeable Subscription

Noticeable provides ongoing graphic design services and AI visibility services through one recurring subscription, managed through one client dashboard.

Your subscription automatically renews each billing period using the payment method provided at checkout unless you cancel your subscription as described in section 9.

Subscription fees are charged in advance and provide access to Noticeable services during the applicable billing period.

2. Design Requests & Project Queue

Clients may add as many design requests as they would like to their project queue. However, only one design project may be active at a time.

Projects are worked on sequentially based on the Client's project queue. While one project is active, additional requests may be added to the queue but will not become active until the current project has been approved.

Once the Client approves the active project, it is considered complete and STUDIONOVO may begin work on the next project in the queue.

Clients may manage and reprioritize queued projects through their account, subject to the functionality available through the platform.

3. Turnaround Times

Our standard turnaround time for most design projects is within three (3) business days after STUDIONOVO receives a complete project request, including the content, assets, instructions, and other information reasonably necessary to begin work.

Turnaround times are estimates and may vary based on the complexity or scope of a request, holidays, Client response times, or circumstances outside our reasonable control. If a project requires additional time, we will make reasonable efforts to communicate that to the Client.

When the Client requests revisions or changes to a project, a new three-business-day turnaround period begins once STUDIONOVO receives the complete revision request.

Business days do not include Saturdays, Sundays, or recognized holidays.

4. Revisions & Project Approval

Clients may request revisions to an active project before approving it as complete.

Each revision request begins a new standard turnaround period. Clients should consolidate feedback and requested changes whenever reasonably possible to help keep projects moving efficiently.

A project is considered complete once the Client approves it. Approval closes the active project and allows the next project in the Client's queue to become active.

Additional work requested after a project has been approved may be submitted as a new project.

5. Scope of Design Services

The design services are designed to provide ongoing graphic design support through reasonably scoped individual projects, such as social media graphics, marketing materials, advertisements, event graphics, presentation graphics, digital assets, print collateral, simple logo projects, and similar graphic design needs.

The subscription is not intended for comprehensive brand development, brand strategy, website design or development, large-scale campaign development, or other projects that we determine are better suited to a separately scoped engagement. Identity Sprints and Website Sprints are available as separate purchases with their own scope and pricing.

We reserve the right, in our reasonable discretion, to determine whether any project request falls within the intended scope of the subscription. We may decline a request, ask the Client to modify its scope, or recommend a separate engagement through CRTR Studio, ConnexionAI, or another provider. Any such engagement will require separate pricing, scope, and terms.

Declining an individual project because it falls outside the scope of the service does not constitute a failure to provide subscription services or entitle the Client to a refund.

6. AI Visibility Services

Each month during an active subscription, ConnexionAI will:

Unused technical-fix hours do not roll over to future months and have no cash, credit, or refund value. Technical work beyond three hours in a month, or larger projects identified through the report, may be quoted separately.

Some recommended fixes can only be completed by the Client, such as claiming accounts in the Client's name, collecting reviews, or approving changes to the Client's own systems. The Client is responsible for fixes assigned to the Client.

Running the VizAI report does not require access to the Client's accounts. Completing technical fixes may require access to the Client's website, listings, or other systems, as described in section 8.

7. No Guaranteed Rankings or Recommendations

AI assistants, search engines, maps, and directories are operated by third parties who decide independently what they show and recommend, and who change their systems without notice.

Noticeable works to improve how the Client is understood and presented, but does not guarantee that any AI assistant, search engine, or directory will mention, rank, or recommend the Client, or that the Client's visibility score will reach or stay at any particular level.

Reports reflect the answers received when the report was run. AI answers can vary between runs, and a report is not a promise of future results.

8. Client Responsibilities

The Client is responsible for providing accurate and complete project information, copy, brand assets, images, files, specifications, access credentials when applicable, and other materials reasonably necessary for Noticeable to complete the requested work.

When technical fixes require access to the Client's website, listings, or other systems, the Client agrees to provide access through a secure method, such as adding us as a user, rather than sharing passwords by email. The Client may remove that access at any time, which may limit the fixes we can complete.

Turnaround periods do not begin until we have received the materials and information reasonably necessary to begin work.

The Client represents that it owns, licenses, or otherwise has permission to use any materials it provides and authorizes Noticeable to use those materials for the purpose of completing the requested services.

Delays caused by missing information, incomplete requests, delayed feedback, requested changes, or other Client dependencies do not count toward standard turnaround times.

9. Plans, Commitment & Cancellation

Flex plan. The Flex plan is billed monthly with no minimum commitment. The Client may cancel at any time through their account.

Invest plan. The Invest plan is billed monthly at a reduced rate in exchange for a six-month minimum commitment, beginning on the subscription start date. If the Client cancels before the commitment ends, the remaining monthly payments for the commitment period remain due. Turning off renewal in the subscription platform before the commitment ends does not end the commitment. After the six-month commitment, the Invest plan continues month to month at the same rate for as long as the subscription remains active, and the Client may cancel at any time.

Effect of cancellation. Cancellation prevents the subscription from renewing for the next billing period. It does not immediately terminate access to services that have already been paid for. After cancellation, the Client may continue using Noticeable through the end of the current paid billing period, according to the normal project queue, scope, and turnaround policies.

Subscription fees are not prorated or refunded for partially used billing periods. Canceling before the end of a billing period does not entitle the Client to a refund or credit for unused days, unused technical-fix hours, or unused service capacity.

At the conclusion of the paid billing period, access to active design and visibility services ends. Noticeable is not obligated to complete active or queued projects remaining at that time.

10. Pausing Your Subscription

Flex Clients may pause an active subscription through their client account. Invest Clients may pause during the commitment period, and the commitment end date moves back by the length of the pause.

While a subscription is paused, recurring billing and active services are paused. We will not begin or continue design work, run monthly reports, or complete technical fixes during the pause.

Projects, reports, and account information may remain within the Client's account while the subscription is paused, subject to the Terms of Service and applicable platform functionality.

Pausing a subscription does not entitle the Client to a refund or credit for subscription fees already charged before the pause became effective.

11. Subscription Fees & Payment

The Client agrees to pay the subscription price presented at checkout. Subscription fees are billed in advance on a recurring basis by STUDIONOVO using the payment method provided by the Client.

By subscribing, the Client authorizes STUDIONOVO and its third-party payment processor to charge the payment method provided for recurring subscription fees until the subscription is paused or canceled.

The Client is responsible for maintaining a valid payment method and accurate billing information. If payment cannot be successfully processed, Noticeable may pause or suspend access to services until payment has been received.

12. Ownership & Final Files

Upon payment of all applicable subscription fees, the Client owns the final design deliverables created specifically for the Client and delivered as part of an approved project, including the associated editable or native working files, subject to any applicable third-party rights or licensing restrictions. Editable or native working files are available upon request but are not automatically included with each project delivery.

The Client owns the changes made to the Client's own website and listings through technical fixes. VizAI reports are provided for the Client's own business use.

STUDIONOVO and ConnexionAI each retain ownership of their unused concepts, preliminary designs, internal materials, processes, tools, software (including VizAI), systems, templates, and other materials that are not part of the Client's approved final deliverables.

Third-party materials, including fonts, stock photography, stock graphics, templates, software, or other licensed assets, remain subject to the rights and restrictions of their respective owners and licenses. The Client is responsible for obtaining any licenses necessary to independently use, edit, reproduce, or distribute third-party materials included within editable files after those files have been provided.

13. Portfolio Rights

Unless otherwise agreed in writing, the Client grants STUDIONOVO and CRTR Studio permission to display completed design work created through the subscription for portfolio, website, social media, case study, award submission, and other promotional purposes after the work has been publicly released by the Client.

Noticeable will not publish the Client's VizAI results, scores, or other visibility data in a way that identifies the Client without the Client's written permission. Noticeable will not knowingly publish confidential or unreleased Client information before it has been made public by the Client.

14. Your Data & VizAI

To run the VizAI report, ConnexionAI uses public information about the Client's business, such as its website, listings, and reviews, and the answers AI assistants give to the questions in the report. ConnexionAI uses this information to provide the visibility services.

ConnexionAI may use aggregated information that does not identify the Client to operate and improve VizAI.

15. No Guaranteed Volume of Work

A Noticeable subscription provides ongoing access to our design and visibility services during an active subscription period. It does not purchase or guarantee a specific number of projects, designs, deliverables, revisions, fixes, or hours of work during any billing period, other than the monthly report and meeting described in section 6.

Unused time, project capacity, technical-fix hours, or access does not roll over to future billing periods and has no cash, credit, or refund value.

16. Service Availability

Noticeable will make commercially reasonable efforts to provide services consistently and according to the expectations described in this Agreement.

We do not guarantee uninterrupted access to the client dashboard, VizAI, or related technology and are not responsible for interruptions caused by third-party platforms, AI assistants, internet or software outages, payment processors, scheduled maintenance, or circumstances outside our reasonable control.

17. Suspension or Termination by Noticeable

We reserve the right to suspend or terminate a subscription for failure to pay amounts due, misuse or abuse of the service, repeated unreasonable use of the revision process, unlawful or inappropriate conduct, violation of this Agreement or the Terms of Service, or use of Noticeable in a manner materially inconsistent with the intended subscription service.

If we elect to permanently terminate a Client's subscription without cause before the end of a paid billing period, we will provide a prorated refund for the unused portion of that billing period and release the Client from any remaining commitment.

18. Changes to Your Subscription

Noticeable may periodically update its services, features, processes, subscription structure, or pricing.

Material changes affecting an existing subscription will be communicated to Clients as appropriate. Changes to subscription pricing will be communicated before the new price is charged and will take effect beginning with a future billing period. Invest Clients keep their rate for as long as their subscription remains active.

Continued use of Noticeable after an applicable change takes effect constitutes acceptance of the updated service terms, subject to applicable law.

19. Electronic Acceptance

By completing the Noticeable subscription checkout, where a notice links to this Agreement and the Noticeable Terms of Service, the Client affirmatively acknowledges that they have had the opportunity to review this Agreement and the Noticeable Terms of Service and agrees to be bound by both.

The Client agrees that completing the electronic acceptance process constitutes their signature and has the same force and effect as signing this Agreement manually.

Noticeable may maintain an electronic record of the Client's acceptance and provide the Client with a copy of the Agreement applicable to their subscription for their records.

20. Agreement & Terms of Service

This Service Agreement describes the commercial terms and service expectations applicable to a Noticeable subscription and is incorporated into the Noticeable Terms of Service.

The Terms of Service contain additional provisions governing the relationship between Noticeable and the Client, including limitations of liability, warranties, indemnification, dispute resolution, governing law, intellectual property, and other legal terms.

In the event of a conflict between this Service Agreement and the Terms of Service regarding the specific subscription services, pricing, project process, turnaround expectations, commitment, pausing, or cancellation described in this Agreement, this Service Agreement will control.

Terms of Service

Last Updated: October 16, 2026

These Terms of Service ("Terms") govern your access to and use of Noticeable, a service offered by CRTR Studio LLC, doing business as STUDIONOVO ("STUDIONOVO"), with visibility services provided by Connexion AI, LLC ("ConnexionAI") (together, "Noticeable," "we," "us," or "our").

By creating an account, purchasing a subscription, or using Noticeable, you agree to these Terms and the Noticeable Service Agreement applicable to your subscription.

1. Eligibility & Authority

You must be at least 18 years old and legally capable of entering into a binding agreement to use Noticeable.

If you subscribe to or use Noticeable on behalf of a business, organization, or other entity, you represent that you have authority to accept these Terms and the applicable Service Agreement on its behalf.

2. Your Account

You are responsible for maintaining accurate account information and protecting the confidentiality of your login credentials and private dashboard links.

You are responsible for activity conducted through your account and for ensuring that anyone you authorize to access Noticeable complies with these Terms.

You must promptly notify us if you believe your account or dashboard link has been accessed or used without authorization.

3. Subscription Services

Your Noticeable subscription is governed by the Service Agreement accepted when you subscribe. The Service Agreement establishes the specific terms of the subscription, including project workflow, turnaround expectations, scope of services, visibility services, revisions, payment, commitment, pausing, cancellation, and ownership of deliverables.

If these Terms conflict with the Service Agreement regarding those specific subscription services, the Service Agreement will control.

4. Acceptable Use

You may use Noticeable only for lawful purposes. You may not use Noticeable to request, create, distribute, or facilitate content that:

We reserve the right to decline or discontinue any project or fix that we reasonably believe violates these Terms.

5. Client-Provided Materials

You retain ownership of materials you provide to Noticeable.

By providing content, images, logos, trademarks, photographs, copy, files, data, account access, or other materials to us, you grant STUDIONOVO and ConnexionAI a limited right to use, reproduce, modify, and otherwise work with those materials as reasonably necessary to provide the requested services.

You represent that you own or have obtained the rights and permissions necessary for us to use those materials as directed by you. You are responsible for claims arising from materials you provide or instruct us to use when you do not possess the necessary rights or permissions.

6. Intellectual Property & Deliverables

Ownership of Client-specific final deliverables and associated editable files is governed by the Service Agreement.

STUDIONOVO, CRTR Studio, and ConnexionAI retain all rights to their pre-existing intellectual property and general business materials, including processes, methods, systems, know-how, templates, internal tools, workflows, software (including VizAI), documentation, and other materials that were not created specifically as a final Client deliverable.

Providing a final deliverable or report does not transfer ownership of our underlying tools, processes, or intellectual property used to create it. Third-party materials incorporated into Client work remain subject to their respective licenses and ownership rights.

7. Third-Party Assets & Licensing

Projects may incorporate fonts, photographs, illustrations, stock assets, templates, plugins, software, or other materials owned or licensed by third parties. Where reasonably practical, we will use third-party materials in accordance with their applicable licenses.

Some licenses may be limited to our use and may not automatically transfer to the Client. If continued or independent use of a third-party asset requires the Client to obtain its own license, we will notify the Client when delivering the applicable work and identify the asset or license that must be obtained. The Client is responsible for purchasing and maintaining any such license.

We do not transfer ownership of third-party intellectual property simply because it is incorporated into a Client deliverable.

8. File Storage & Retention

We maintain project files and reports as a convenience to Clients and as part of providing our services, but Noticeable is not intended to serve as a permanent file-storage or archival service. Clients are responsible for downloading and maintaining their own copies of completed deliverables and reports.

While a Client maintains an active subscription, we will make reasonable efforts to retain project files, including applicable editable or native working files, for at least one (1) year following completion of the applicable project. Editable or native working files associated with approved final deliverables are available upon request during the retention period and are not automatically provided with each project delivery.

If a Client cancels or otherwise terminates their subscription, we will retain available project files and reports for ninety (90) days following the end of the Client's subscription. After that period, we may permanently delete project files, editable files, reports, Client-provided materials, and other account content without further notice. The ninety-day post-cancellation retention period replaces any remaining retention period that would otherwise apply.

Clients are responsible for requesting and downloading any files they wish to retain before the applicable retention period expires.

9. Feedback & Approvals

You are responsible for reviewing work and recommended changes and communicating revisions, corrections, or concerns before approving them. Client approval represents acceptance of the deliverable or change as presented.

While we will make reasonable efforts to produce accurate work, the Client is responsible for final review of spelling, factual information, dates, pricing, contact information, legal disclosures, specifications, and other content before publication, printing, production, or distribution.

We are not responsible for costs associated with correcting an error after the Client has approved the applicable deliverable or change.

10. Printing, Production & Third-Party Vendors

Unless specifically agreed otherwise, our responsibility is limited to providing design services, digital deliverables, visibility reports, and the technical fixes described in the Service Agreement.

The Client is responsible for final printing, manufacturing, publishing, advertising placement, website implementation beyond the agreed technical fixes, or other production performed by third-party vendors. We are not responsible for variations or errors introduced by printers, manufacturers, advertising platforms, social platforms, web platforms, or other third parties after final files have been provided.

11. Third-Party Platforms & AI Assistants

Noticeable relies on third-party services to provide portions of its client experience, which may include client portals, payment processors, cloud storage, email providers, communication tools, hosting, and other technology platforms. The visibility services also measure AI assistants, search engines, and directories operated by third parties.

We do not control these third-party services and cannot guarantee their uninterrupted availability, performance, or what they show or recommend. Your use of certain third-party services may also be subject to their respective terms and privacy policies.

12. Confidentiality

Each party may receive non-public information from the other in connection with the services. We will use reasonable care to protect Client information identified as confidential, including account access provided for technical fixes, and will use that information only as reasonably necessary to provide services or operate our business.

Confidential information does not include information that is publicly available through no breach of these Terms, was already lawfully known to the receiving party, is independently developed without use of confidential information, or is lawfully received from another source without a confidentiality obligation.

Nothing in this section prevents STUDIONOVO or ConnexionAI from sharing Client information with each other to provide Noticeable, or from using service providers or contractors who reasonably require access to Client information to perform work on our behalf.

13. Independent Contractor Relationship

STUDIONOVO and ConnexionAI provide services as independent contractors. Nothing in these Terms or the Service Agreement creates an employment relationship, partnership, joint venture, fiduciary relationship, or agency relationship between the Client and STUDIONOVO or ConnexionAI. Neither party has authority to bind the other except as expressly agreed in writing.

14. No Warranties Regarding Business Results

Noticeable provides creative, design, and visibility services but does not guarantee any particular business, marketing, financial, advertising, engagement, visibility, ranking, recommendation, conversion, sales, or other performance result from the use of our work.

Except as expressly stated in the Service Agreement and to the fullest extent permitted by law, Noticeable services are provided without additional warranties, whether express or implied.

15. Limitation of Liability

To the fullest extent permitted by applicable law, STUDIONOVO, CRTR Studio LLC, and Connexion AI, LLC will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, loss of business opportunity, or costs arising from the Client's use of Noticeable services.

To the fullest extent permitted by law, our total combined liability arising from or related to the services, these Terms, or the Service Agreement will not exceed the amount actually paid by the Client for Noticeable during the three (3) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.

16. Indemnification

To the extent permitted by law, the Client agrees to defend, indemnify, and hold harmless CRTR Studio LLC, STUDIONOVO, Connexion AI, LLC, and their owners, employees, contractors, and representatives from claims, damages, liabilities, losses, and reasonable expenses arising from:

17. Suspension & Termination

We may suspend or terminate access to Noticeable as described in the Service Agreement or when reasonably necessary to protect STUDIONOVO, ConnexionAI, our systems, our team, our clients, or third parties.

Termination does not eliminate obligations or liabilities that arose before termination. Sections that by their nature should survive termination, including provisions regarding intellectual property, payment obligations, confidentiality, limitation of liability, indemnification, and dispute resolution, will survive.

18. Changes to These Terms

We may update these Terms periodically to reflect changes to Noticeable, applicable law, our technology, or our business practices. When a material change affects existing subscribers, we will provide reasonable notice before the updated Terms become effective when required or appropriate.

Continued use of Noticeable after updated Terms become effective constitutes acceptance of those Terms, subject to applicable law.

19. Governing Law

These Terms and the Service Agreement are governed by the laws of the State of Indiana, without regard to conflict-of-law principles.

20. Disputes

Before initiating formal legal proceedings, you and Noticeable agree to make a good-faith effort to resolve any dispute arising from the services, these Terms, or the Service Agreement through direct communication.

If a dispute cannot be resolved informally, any legal action will be brought in a court of competent jurisdiction located in the State of Indiana, unless applicable law requires otherwise. Each party consents to the jurisdiction of those courts.

21. Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

22. Waiver

A party's failure to enforce any provision of these Terms does not waive its right to enforce that provision or any other provision later.

23. Assignment

The Client may not assign or transfer its rights or obligations under these Terms or the Service Agreement without our prior written consent. STUDIONOVO or ConnexionAI may assign these Terms or the Service Agreement in connection with a merger, acquisition, sale of assets, restructuring, or transfer of its business.

24. Entire Agreement

These Terms, together with the applicable Noticeable Service Agreement and subscription information presented at checkout, constitute the agreement between the Client and Noticeable regarding the subscription services.

If these Terms conflict with the Service Agreement regarding subscription pricing, project workflow, turnaround expectations, commitment, pausing, cancellation, or other specific service terms, the Service Agreement controls.
